Agent Terms

These Agent Terms apply to invited real estate agents and agencies using the SoldForWhat agent portal, operated by SoldForWhat Pty Ltd ACN 697 151 170 ("we", "us", "our"). They are in addition to our general Terms of Service and Privacy Policy. By accepting an invite and signing in to the portal you agree to these Agent Terms.
1. Agent accounts (invited only)
Agent and agency accounts are created by invitation. By accepting an invite and signing in to the agent portal you confirm that:
- you are a licensed Queensland real estate agent or an authorised representative of a licensed agency;
- you hold, or have been granted by the photographer or other owner of copyright in the photographs, a licence to publish any photographs you upload to the Platform and to grant us the licence set out in clause 2;
- you have authority from your agency principal to publish each sale record on this Platform;
- your client (the seller) has either consented to public disclosure of the sale price, or the disclosure is otherwise lawful.
If a sale is the subject of a confidentiality obligation, you must mark it "Price on application" at the time of upload. If you become aware after upload that a sale you have published is the subject of such an obligation, you must notify us immediately at hello@soldforwhat.com.au and we will hide or amend the entry within 2 business days.
You are responsible for keeping your login credentials secure. We may immediately suspend or terminate an agent account where we reasonably believe the account has been used to upload false or fraudulent sale data, the agent's real estate licence has been cancelled or suspended, the account has breached these Terms, or continued access would expose us or a third party to legal liability.
2. Your content and the licences you grant
You retain ownership of any content you upload (photos, sale records, profile material). You grant us the following licences:
- Photographs and profile content (headshot, agency logo, written profile): a non-exclusive, royalty-free licence to display, reproduce and distribute that content on the Platform and in marketing materials linking back to the Platform, for as long as your account is active. This licence ends on termination of your account, after which the content is removed from public view within 30 days.
- Bare sale records (address, sale price, sale date, property type, suburb): a royalty-free licence to publish the sale record for so long as it remains accurate. We may continue to display submitted sale records after your account closes, but we will suppress or amend any record where required by law, by a court order, or on a legitimate request (see clause 1).
3. Data accuracy
You must submit accurate sale information. While we run automated and manual review on submissions, we do not independently verify every sale against Titles Registry records, and you remain responsible for the accuracy of what you upload.
4. Pricing
The agent portal is currently free to use. If we introduce any fees in future, we will update these Agent Terms and notify you by email at least 30 days before any charge applies to you.
5. Indemnity
You indemnify us against any claim by a third party (including a vendor, buyer, or competing agency) arising directly from your upload of sale data or content that you did not have the right to publish, provided that this indemnity does not extend to any claim to the extent caused by our own negligence or wilful misconduct.
6. Termination
You may close your agent account at any time by contacting us. We may suspend or terminate accounts that breach these Terms, with reasonable notice except where immediate suspension is required by law or to prevent harm.
On termination: photographs and personal profile content will be deleted within 30 days, except where retention is required by law. Submitted bare sale records (address, price, sale date) will be retained as a public record consistent with the licence in clause 2.
You may request a copy of the personal information we hold about your account at any time, and may request correction or deletion of that information, by contacting hello@soldforwhat.com.au. We will respond within 30 days as required by Australian Privacy Principle 12.
7. Liability
Nothing in these Agent Terms excludes, restricts or modifies any consumer guarantee, right or remedy under the Australian Consumer Law that cannot lawfully be excluded. Subject to that, to the maximum extent permitted by law our total aggregate liability to you for all claims arising out of or in connection with the agent portal is limited to the greater of AUD $500 or the total fees paid by you in the three months preceding the event giving rise to the claim, and we are not liable for indirect, consequential or business loss, including loss of profits, reputation or opportunity.
8. Engagement statistics
As part of your subscription, SoldForWhat may provide you with aggregate engagement statistics about your listings featured in Past Games (e.g. total view counts, profile view counts). These statistics are derived from personal information about SoldForWhat users and are provided to you strictly as de-identified, aggregate figures.
You must not, and must not attempt to, re-identify any individual from these statistics (including by cross-referencing small counts, timing, or other information available to you), and you must not use these statistics for any purpose other than understanding interest in your own listings. You must not disclose, resell, or share these statistics with any third party. Any attempt to re-identify a user, or any misuse of this data, is a material breach of these Terms and may result in immediate suspension of your account, in addition to any liability you may have under the Privacy Act 1988 (Cth) as a recipient of personal-information-derived data.
9. Changes, governing law and contact
We may update these Agent Terms from time to time; material changes will be notified to agent users by email at least 14 days before they take effect, and published here with the date and Version revised.
